Junior Corporate Associate — Romulo Mabanta Buenaventura Sayoc & de los Angeles
Romulo Mabanta is seeking a Junior Corporate Associate to join its Corporate and Commercial practice group in Makati City. This is an excellent opportunity for a newly admitted attorney to develop foundational skills in Philippine corporate law at one of the country's most prestigious law firms.
Key Responsibilities
- Assist senior associates and partners in drafting corporate documents including shareholders' agreements, joint venture agreements, and board resolutions
- Prepare SEC filings, corporate registrations, and annual reportorial requirements under the Revised Corporation Code (RA 11232)
- Conduct legal research on corporate governance, securities regulation, and Philippine commercial law
- Assist in due diligence processes for mergers, acquisitions, and investment transactions
- Draft legal opinions, client memoranda, and transaction summaries
- Support the team in closing corporate transactions and maintaining corporate records

Requirements
- Admitted to the Philippine Bar (recent passers welcome) with active IBP membership
- 0-2 years of corporate law experience; fresh bar passers with strong academic records are encouraged to apply
- J.D. or LL.B. from a top Philippine law school (UP College of Law, Ateneo Law School, San Beda College of Law preferred)
- Strong legal research, writing, and analytical skills
- Excellent English communication skills
- Willingness to learn and work in a fast-paced, high-volume practice environment
- Top academic performance or law journal experience is an advantage
