Senior Associate — Mergers & Acquisitions

King & Wood Mallesons is seeking a Senior Associate for its market-leading M&A practice at Governor Phillip Tower, 1 Farrer Place in Sydney's CBD, steps from the Supreme Court of New South Wales and Martin Place. You will advise on complex public and private M&A transactions, takeovers, schemes of arrangement, and equity capital markets for ASX-listed companies and international investors.

Key Responsibilities

• Lead transaction execution on public takeovers, schemes of arrangement, and private acquisitions under the Corporations Act 2001
• Advise on ASX Listing Rules compliance, FIRB approvals, and ACCC merger clearance
• Draft and negotiate share purchase agreements, shareholders' agreements, and bid implementation agreements
• Manage junior lawyers and graduate solicitors on deal teams
• Coordinate with KWM's Asia offices on cross-border transactions

Requirements

• Admitted as a solicitor of the Supreme Court of NSW (or eligible for admission)
• 5-8 years PQE in M&A or corporate advisory at a leading firm
• Strong knowledge of the Corporations Act 2001, ASX Listing Rules, and Takeovers Panel guidance
• Excellent commercial judgement and client management skills
