Senior Associate — Corporate/M&A

Russell McVeagh is seeking a Senior Associate for its market-leading Corporate/M&A practice at Level 30, Vero Centre, 48 Shortland Street, Auckland, overlooking the Waitemata Harbour and steps from the Auckland High Court. You will advise on New Zealand's most significant public and private M&A transactions, takeovers under the Takeovers Code, and equity capital markets work for NZX-listed companies and international investors.

Key Responsibilities

• Lead transaction execution on public takeovers, schemes of arrangement, and private acquisitions under the Companies Act 1993 and the Takeovers Code
• Advise on Overseas Investment Office (OIO) consent applications for sensitive land and significant business assets
• Draft and negotiate share purchase agreements, shareholders' agreements, and merger implementation agreements
• Manage junior lawyers and law clerks on deal teams across Auckland and Wellington
• Coordinate with international counsel on cross-border transactions involving New Zealand assets

Requirements

• Admitted as a Barrister and Solicitor of the High Court of New Zealand with a current Practising Certificate
• 6-9 years PQE in M&A or corporate advisory at a leading New Zealand or international firm
• Strong knowledge of the Companies Act 1993, Takeovers Code, NZX Listing Rules, and Financial Markets Conduct Act 2013
• Excellent commercial judgement and client management skills
