The successful candidate will advise Philippine and multinational clients on complex corporate transactions, mergers and acquisitions, joint ventures, and corporate restructurings.

Key Responsibilities

• Draft and review corporate documents including articles of incorporation, by-laws, board resolutions, and shareholders' agreements in compliance with the Revised Corporation Code (RA 11232)
• Advise clients on regulatory compliance with the Securities and Exchange Commission (SEC) and Philippine Stock Exchange (PSE) requirements
• Lead due diligence processes for M&A transactions and coordinate with international counsel on cross-border deals
• Prepare and file corporate governance reports, annual disclosure requirements, and material event disclosures
• Represent clients before the SEC, Board of Investments (BOI), and other government agencies
• Mentor junior associates and contribute to the firm's knowledge management initiatives

• Member of the Philippine Bar with active IBP membership
• Minimum 7 years of corporate law experience at a reputable law firm or in-house legal department
• Expertise in the Revised Corporation Code (RA 11232), Securities Regulation Code, and Philippine corporate governance standards
• Experience handling SEC filings, corporate restructurings, and M&A transactions
• LL.B. or J.D. from a recognized Philippine law school; LL.M. from an international institution is an advantage
• Excellent drafting, negotiation, and communication skills in English and Filipino
• Experience supervising junior lawyers and managing client relationships
