Investment Fund Lawyer

Al Jadaan & Partners Law Firm is seeking an Investment Fund Lawyer to join our Capital Markets team in Riyadh. You will advise fund managers and investors on the establishment, structuring, and regulatory compliance of investment funds in Saudi Arabia.

Role Overview

With the CMA's push to develop Saudi Arabia's asset management industry, there is growing demand for legal expertise in fund formation, REIT structuring, and private equity transactions. You will advise on the full lifecycle of investment funds, from structuring and CMA authorization to ongoing compliance and fund termination.

Key Responsibilities

  • Advise on fund formation including private placement funds, public funds, and REITs
  • Draft fund terms and conditions, offering documents, and subscription agreements
  • Ensure fund compliance with CMA Investment Fund Regulations
  • Advise on fund governance, NAV calculations, and investor reporting requirements
  • Support private equity and venture capital transactions in Saudi Arabia
  • Advise fund managers on foreign investment restrictions and SAGIA/MISA approvals

Requirements

  • LLB from a recognized university; LLM in securities law or finance preferred
  • 3-6 years of experience in investment funds, asset management, or capital markets law
  • Knowledge of CMA Investment Fund Regulations and fund governance standards
  • Experience with REIT structures, private equity fund documentation, or venture capital
  • Fluent in Arabic and English
