Job Description

Investment Funds Lawyer — Clyde & Co Middle East

Clyde & Co's DIFC office is looking for an Investment Funds Lawyer to advise on fund formation, regulatory compliance, and investment structuring across DIFC and ADGM jurisdictions.

Key Responsibilities

  • Advise on the establishment and structuring of investment funds in DIFC and ADGM
  • Draft fund documentation including PPMs, limited partnership agreements, and subscription documents
  • Handle DFSA (Dubai Financial Services Authority) and ADGM FSRA fund licensing applications
  • Advise on SCA-regulated investment funds on the UAE mainland
  • Support real estate fund structuring, including REIT formations under DIFC and ADGM frameworks
  • Advise on ESG fund structuring and sustainable finance regulatory developments in the UAE

Requirements

  • 4-7 years PQE in investment funds, asset management, or financial services regulatory law
  • Experience with DIFC or ADGM fund regulation
  • Knowledge of DFSA and ADGM FSRA regulatory requirements for fund managers and funds
  • Familiarity with Cayman, Luxembourg, or Jersey fund structures beneficial
  • Common law qualification required
  • Fluent English; Arabic is advantageous
