Job Description

Venture Capital & Tech Transactions Associate — Meitar Law Offices, Tel Aviv

Meitar Law Offices, Israel's largest and most technology-focused law firm, is hiring a Venture Capital & Tech Transactions Associate to join its dominant VC practice. Meitar represents the majority of Israel's venture capital funds and advises on more Start-Up Nation financings than any other firm.

Key Responsibilities

  • Draft and negotiate venture capital investment documents including term sheets, SHA (shareholders' agreements), and Articles of Association under Israeli Companies Law 5759-1999
  • Advise Israeli startups and VC funds on seed rounds, Series A-D financings, bridge loans, and convertible instruments (SAFEs, convertible notes)
  • Handle legal due diligence for technology investments, reviewing IP ownership, employment agreements, and regulatory compliance
  • Advise on Israel Innovation Authority (formerly Office of the Chief Scientist) grant compliance and IP transfer restrictions
  • Support M&A exits including share sales, asset deals, and merger transactions for portfolio companies
  • Draft option plans (ESOP/102 plans) and advise on Israeli tax-advantaged equity compensation under Section 102 of the Income Tax Ordinance
  • Collaborate with international counsel on cross-border structuring for Israeli startups with US parent companies

Requirements

  • Israel Bar Association membership with active practicing license
  • 2-5 years of corporate/VC experience at a leading Israeli law firm
  • Strong knowledge of Israeli Companies Law 5759-1999 and venture capital market practices
  • Familiarity with Section 102 equity incentive plans and Israel Innovation Authority grant regulations
  • LLB from Hebrew University, Tel Aviv University, Bar-Ilan University, or equivalent top Israeli law faculty
  • Fluent Hebrew and English with strong drafting skills in both languages
  • Passion for the Israeli technology ecosystem and Start-Up Nation innovation
