Job Description
Associate – Corporate/M&A
Trench Rossi Watanabe (member firm of Baker McKenzie) is hiring a mid-level corporate associate in São Paulo. The role provides exposure to both domestic and cross-border transactions leveraging Baker McKenzie's global network across Latin America and beyond.
Responsibilities
- Advise on mergers, acquisitions, joint ventures, and corporate restructurings under Brazilian corporate law
- Draft and negotiate transaction documents including SPAs, shareholders' agreements, and investment agreements
- Conduct legal due diligence and prepare due diligence reports for domestic and international clients
- Coordinate with Baker McKenzie offices worldwide on multi-jurisdictional transactions
- Advise on foreign direct investment, Central Bank registrations, and regulatory approvals
Requirements
- Bacharel em Direito; OAB registration active
- 4–7 years' corporate/M&A experience at a leading Brazilian or international firm
- Knowledge of Lei das S.A., Código Civil, and CADE merger control procedures
- Fluent English mandatory; additional languages valued
