Project Finance & Infrastructure Attorney — John Wilson Partners

John Wilson Partners seeks a Senior Attorney-at-Law for its Project Finance & Infrastructure practice at its Colombo 3 office. The firm is a leading advisor on Sri Lanka's major infrastructure projects, including port developments, power generation, expressway construction, and public-private partnerships.

The role involves structuring and documenting project finance transactions, advising on BOI agreements, sovereign guarantees, and multilateral lender requirements (ADB, World Bank, IFC). You will work at the intersection of banking law, public procurement regulation, and Sri Lanka's development finance landscape, drawing on the firm's deep expertise in Roman-Dutch contractual principles and modern commercial practice.

Responsibilities

  • Structure and document project finance transactions including security packages and inter-creditor arrangements
  • Advise on BOI agreements, government concessions, and PPP frameworks
  • Negotiate with multilateral lenders (ADB, World Bank, IFC) and commercial banks
  • Draft EPC contracts, O&M agreements, and offtake arrangements
  • Advise on regulatory approvals including environmental clearances under the National Environmental Act
  • Coordinate with government authorities including the BOI, Treasury, and Attorney General's Department

Requirements

  • Attorney-at-Law admitted by BASL with 7+ years' post-admission experience in project finance or banking law
  • Demonstrable experience with infrastructure project documentation and PPP structures
  • Knowledge of BOI Act, Government Procurement Guidelines, and multilateral lender requirements
  • Experience with the Banking Act, Central Bank regulations, and foreign exchange controls
  • Understanding of environmental law and the National Environmental Act
  • LL.B. with LL.M. in international commercial law or finance law preferred
  • Fluency in English required; Sinhala/Tamil an advantage
