Senior Legal Counsel – Capital Markets & Structured Finance

BNP Paribas Fortis, Belgium's largest bank by total assets, headquartered on the Warandeberg near the Royal Palace in Brussels, is seeking a Senior Legal Counsel for its Capital Markets and Structured Finance legal team.

You will provide legal advice on complex structured finance transactions, derivatives documentation, bond issuances on Euronext Brussels, and securitisation structures, working at the intersection of Belgian and EU financial regulation.

What You Will Do

• Advise on ISDA documentation, derivatives clearing under EMIR, and OTC derivatives regulation
• Support bond issuances and structured notes programmes on Euronext Brussels
• Advise on Belgian and EU securitisation regulation (STS framework)
• Review and negotiate complex financing documentation including EMTN programmes
• Advise on the Belgian Prospectus Law and EU Prospectus Regulation requirements

• Lead legal advisory on capital markets transactions and structured products
• Negotiate ISDA master agreements and complex financing documentation
• Advise on regulatory compliance for new financial products
• Manage external counsel on complex transactions
• Contribute to regulatory policy within the BNP Paribas group

• Belgian Bar admission or equivalent legal qualification
• Master in Law; LL.M. in Financial Law or Banking Law preferred
• 7-10 years of experience in capital markets, structured finance, or derivatives law
• Deep knowledge of ISDA documentation, EMIR, MiFID II, and Belgian/EU prospectus rules
• Fluent in English and French; Dutch is an advantage
• Experience in a major bank legal department or capital markets law firm practice
