Associate – Capital Markets at White & Case Poland
White & Case's Warsaw office, situated in the prestigious Marszałkowska Centre on ul. Marszałkowska, is seeking an Associate for our Capital Markets practice. White & Case has been present in Poland since 1991 and is recognised as a leader in equity and debt capital markets transactions on the Giełda Papierów Wartościowych w Warszawie (GPW) — the Warsaw Stock Exchange.
About the Role
You will advise issuers, underwriters, and sponsors on IPOs, secondary offerings, bond issuances, and other securities transactions governed by the Ustawa o ofercie publicznej (Public Offering Act) and Ustawa o obrocie instrumentami finansowymi (Financial Instruments Trading Act). The role requires coordination with the KNF for prospectus approval and ongoing compliance with Rozporządzenie MAR (Market Abuse Regulation).
You will draft prospectuses, offering memoranda, and underwriting agreements, and advise on continuous disclosure obligations for GPW-listed companies. The team also handles private placements and structured notes programmes.
Responsibilities
- Draft and review prospectuses, offering memoranda, and pricing supplements for equity and debt offerings
- Advise on IPOs, secondary offerings, and private placements on the GPW and international markets
- Coordinate KNF prospectus approval and post-offering regulatory compliance
- Prepare underwriting agreements and related transaction documents
- Advise GPW-listed clients on continuous disclosure obligations and MAR compliance
- Research regulatory developments in Polish and EU securities law
Requirements
- Qualified adwokat or radca prawny with 3-5 years PQE in capital markets or corporate/securities law
- Strong knowledge of the Ustawa o ofercie publicznej, Ustawa o obrocie instrumentami finansowymi, and EU Prospectus Regulation
- Experience with KNF prospectus review and approval processes
- Familiarity with GPW listing rules and continuous disclosure obligations under MAR
- Excellent English drafting skills (C1+); experience with English-law governed documentation a plus
- Magister prawa; LL.M. from a UK or US institution is an advantage
