John W Ffooks & Co, one of Madagascar's most established international law firms, is seeking an Avocat Senior specializing in foreign direct investment to join its Antananarivo office in the Haute Ville district. This senior position is central to the firm's core practice of advising international investors, multinational corporations, and development finance institutions entering or expanding in the Malagasy market.
You will handle the full lifecycle of cross-border investment transactions, from initial market entry structuring through regulatory approvals to ongoing compliance with Madagascar's Investment Law (Loi sur les Investissements) and OHADA business law provisions. The role requires regular engagement with the EDBM (Economic Development Board of Madagascar), the Registre du Commerce, and various government ministries. You will also advise on investment disputes and represent clients before Malagasy courts and international arbitration tribunals.
Responsibilities
- Advise international clients on structuring their investments in Madagascar
- Navigate regulatory approvals with EDBM, Registre du Commerce, and relevant ministries
- Draft and negotiate joint venture agreements, shareholder agreements, and concession contracts
- Ensure client compliance with OHADA business law and Malagasy corporate regulations
- Represent clients before Malagasy courts and in international arbitration proceedings
- Monitor legislative and regulatory developments affecting foreign investment in Madagascar
- Mentor junior avocats and contribute to the firm's international reputation
- Develop new client relationships and contribute to business development initiatives
Requirements
- CAPA certification and active membership in the Ordre des Avocats de Madagascar
- Minimum 7 years of experience in corporate and investment law in Madagascar
- Proven track record advising foreign investors on market entry and regulatory compliance
- Strong knowledge of OHADA Uniform Acts, Madagascar's Investment Law, and Zone Franche regulations
- Fluency in French and English is mandatory; Malagasy proficiency preferred
- Master's degree in law from the University of Antananarivo, a French university, or equivalent
- Experience with EDBM procedures and company registration at the Registre du Commerce
- Existing network of relationships with embassies, chambers of commerce, and international organizations
