Job Description

Legal Officer — Capital Markets Regulation — SEC Sri Lanka

The Securities and Exchange Commission of Sri Lanka (SEC) invites applications for a Legal Officer position in its Legal and Enforcement Division, based in Colombo 3. The SEC is the apex regulator of Sri Lanka's capital markets, overseeing the Colombo Stock Exchange, licensed market intermediaries, and public offer documentation.

The Legal Officer will investigate market misconduct, draft enforcement actions, and advise on regulatory policy. This is a unique opportunity to shape Sri Lanka's capital markets regulatory framework from within, working on insider trading investigations, market manipulation cases, and corporate governance enforcement. The role involves direct engagement with the Commercial High Court, Attorney General's Department at Hulftsdorp, and international regulatory bodies.

Responsibilities

  • Investigate insider trading, market manipulation, and disclosure violations
  • Draft enforcement orders, show-cause notices, and legal opinions
  • Appear before the Commercial High Court on SEC enforcement matters
  • Advise on regulatory policy and legislative amendments to the SEC Act
  • Review prospectuses, rights issue documentation, and takeover offer documents
  • Liaise with the Attorney General's Department, Colombo Stock Exchange, and international regulators

Requirements

  • Attorney-at-Law admitted by BASL with 3–5 years' post-admission experience
  • Knowledge of the SEC Act, Companies Act No. 7 of 2007, and Colombo Stock Exchange listing rules
  • Understanding of securities regulation, market conduct rules, and corporate governance principles
  • Experience with investigation and enforcement proceedings preferred
  • Familiarity with international securities regulation standards (IOSCO)
  • LL.B. with strong academic record; LL.M. in corporate or securities law an advantage
  • High degree of integrity and public service commitment
