Anderson Mōri & Tomotsune (AMT), one of Japan's prestigious Big Four law firms based in Otemachi, Tokyo, is looking for a senior bengoshi to strengthen its Finance & Capital Markets practice. AMT is renowned for its deep expertise in structured finance, securitisation, and capital markets transactions across Asia.

About the Role

You will advise leading Japanese and international financial institutions on complex financing transactions including syndicated loans, project finance, securitisations, and equity and debt capital markets offerings. The role requires extensive knowledge of the Financial Instruments and Exchange Act (金融商品取引法 / FIEA), the Banking Act (銀行法), and the Civil Code (民法 / Minpō) as they apply to security interests and credit documentation.

Working from our Otemachi office, you will have direct engagement with major financial institutions headquartered in the Marunouchi-Otemachi district, including megabanks, securities companies, and asset management firms regulated by the Financial Services Agency (FSA / 金融庁).

Practice Areas

• Syndicated lending and leveraged finance transactions
• Securitisation and structured finance under Japanese law
• IPOs, secondary offerings, and bond issuances on the Tokyo Stock Exchange
• Regulatory advice under the Banking Act (銀行法) and FIEA (金融商品取引法)
• Derivatives and hedging arrangements under ISDA documentation

• Lead finance and capital markets transactions as the primary associate
• Advise banks, securities companies, and asset managers on regulatory compliance
• Draft and negotiate loan agreements, security documents, and offering circulars
• Coordinate with foreign counsel on cross-border financing structures
• Provide regulatory guidance on FSA (金融庁) requirements for financial products
• Mentor junior associates and contribute to knowledge management initiatives
• Support partners in pitches, client seminars, and business development

• Registered bengoshi (弁護士) with the JFBA (日本弁護士連合会)
• 8-15 years of post-qualification experience in finance or capital markets law
• Completion of Shihō Kenshūjo (司法研修所) training
• Deep expertise in FIEA (金融商品取引法), Banking Act (銀行法), and trust law
• Experience with securitisation structures and security interest perfection under the Civil Code (民法)
• Business-level English; LL.M. from a leading international law school strongly preferred
• Existing relationships with financial institution clients advantageous
