Job Description

Roschier, one of the leading law firms in the Nordic region, is seeking a Senior Associate to join our Mergers & Acquisitions practice in Helsinki. You will advise Finnish and international clients on complex cross-border transactions, private equity deals, and corporate restructurings.

As an Asianajaja-track position, you will work closely with partners on high-value transactions governed by the Osakeyhtiölaki (Companies Act) and EU regulations. Our M&A team regularly handles matters before the Finnish Competition and Consumer Authority (FCCA/KKV) and coordinates filings with the Market Court (Markkinaoikeus).

Roschier is a member of the Finnish Bar Association (Suomen Asianajajaliitto) and upholds the highest standards of legal excellence in Finland.

Responsibilities

Lead due diligence workstreams on cross-border M&A transactions. Draft and negotiate share purchase agreements, shareholder agreements, and merger plans under Finnish law. Advise on FCCA/KKV competition clearance filings. Coordinate with Nordic and international counsel on multi-jurisdictional deals. Mentor junior associates and trainees (Oikeusnotaari).

Requirements

Master of Laws (OTM) from a Finnish university or equivalent. Admission to the Finnish Bar Association (Suomen Asianajajaliitto) preferred. 5-8 years of M&A experience at a top-tier law firm. Deep knowledge of the Osakeyhtiölaki (Companies Act) and Finnish corporate governance. Fluent in Finnish and English; Swedish is an advantage.
