Senior Corporate Advocate — Pioneer Law Associates

Pioneer Law Associates, Nepal's most internationally recognised law firm, seeks a Senior Corporate Advocate (अधिवक्ता) to join its premier corporate and commercial practice at its Putalisadak, Kathmandu offices. The successful candidate will lead complex corporate transactions governed by the Companies Act 2063 (2006), advise on foreign direct investment through the Nepal Investment Board, and structure joint ventures and M&A transactions. You will engage with the Office of the Company Registrar, the Department of Industry, and appear before the Supreme Court and High Courts (Uchcha Adalat). Responsibilities

  • Lead corporate advisory mandates including M&A, joint ventures, and foreign investment structuring
  • Draft and negotiate commercial agreements, shareholder agreements, and investment documentation
  • Advise on regulatory compliance under the Companies Act 2063 (2006) and Nepal Investment Board requirements
  • Appear before the Supreme Court (Sarbochcha Adalat), High Courts, and arbitration tribunals
  • Mentor junior Advocates and supervise interns in the corporate practice group
  • Coordinate with the Office of the Company Registrar, Department of Industry, and Nepal Rastra Bank

Requirements

  • Advocate (अधिवक्ता) licensed by the Nepal Bar Association (NBA) with current practising certificate
  • Minimum 8 years' post-admission experience in corporate and commercial law
  • Deep knowledge of the Companies Act 2063 (2006), Industrial Enterprises Act 2076, and foreign investment regulations
  • Experience structuring transactions with international development banks (ADB, World Bank, IFC)
  • Strong advocacy skills with appearances before the Supreme Court (Sarbochcha Adalat) and High Courts
  • LL.B. from Tribhuvan University, Kathmandu University, or equivalent; LL.M. preferred
  • Proficiency in English and Nepali
