Senior Corporate Lawyer - M&A and Capital Markets
The Law Office of Mohanned S. Al-Rasheed is seeking an experienced Senior Corporate Lawyer to join our Riyadh office and lead on complex mergers and acquisitions, capital markets transactions, and corporate restructurings in the Kingdom of Saudi Arabia.
Role Overview
As Saudi Arabia accelerates its Vision 2030 economic diversification agenda, our firm is at the forefront of advising on transformative corporate transactions. You will advise listed and private companies, sovereign wealth funds, and multinational corporations on M&A deals, IPOs on Tadawul, and regulatory compliance with Capital Market Authority (CMA) rules.
Key Responsibilities
- Lead M&A transactions including due diligence, deal structuring, and negotiation of transaction documents under Saudi Companies Law
- Advise on IPO listings, rights issues, and secondary offerings on the Saudi Exchange (Tadawul)
- Draft and review shareholder agreements, joint venture agreements, and corporate governance frameworks
- Provide regulatory guidance on CMA regulations, foreign investment rules, and Saudization (Nitaqat) requirements
- Represent clients before the Commercial Courts and the Committee for the Resolution of Securities Disputes (CRSD)
- Mentor junior associates and contribute to business development

Requirements
- Licensed Muhami (محامي) with valid Saudi Bar registration, or qualified foreign lawyer with recognized credentials
- Minimum 7 years of corporate/M&A experience, with at least 3 years in Saudi Arabia
- LLB or equivalent from a recognized university; LLM in corporate law or finance preferred
- Deep knowledge of Saudi Companies Law, CMA regulations, and Tadawul listing rules
- Experience with Shari'a-compliant transaction structures
- Fluent in Arabic and English (written and spoken)
- Strong drafting, negotiation, and client management skills
