Abogado Asociado — Derecho Corporativo y Startups (Bogotá)

Lloreda Camacho & Co is recruiting a mid-level corporate lawyer with a focus on technology startups and venture capital transactions. The role involves advising Colombian and international startups on incorporation (SAS under Ley 1258 de 2008), seed and Series A financing rounds, shareholders' agreements, and regulatory compliance in Colombia's growing tech ecosystem.

Bogotá has emerged as a leading Latin American startup hub, and Lloreda Camacho advises prominent fintechs, healthtechs, and edtechs. The associate will also handle general corporate matters and M&A transactions for the firm's technology clients.

• Advising startups on SAS incorporation, corporate governance, and equity structuring
• Drafting and negotiating seed round and Series A financing documentation
• Preparing shareholders' agreements, vesting schedules, and stock option plans
• Advising on foreign investment registration with Banco de la República
• Supporting M&A and acqui-hire transactions in the technology sector

• Título de Abogado and active Tarjeta Profesional
• 3-5 years of experience in corporate law, venture capital, or technology transactions
• Strong knowledge of Ley 1258 de 2008 (SAS) and Colombian corporate law
• Experience with venture capital documentation (SAFE notes, convertible notes, term sheets)
• Understanding of Colombia's fintech and startup regulatory environment
• English proficiency essential for international investor coordination
