Associate – Banking & Finance at Dentons Poland
Dentons, the world's largest law firm by headcount, operates from its Warsaw office in the Rondo 1 tower overlooking Rondo Dmowskiego. Our Banking & Finance team is one of the largest in the Polish market, regularly advising on syndicated lending, project finance, and structured finance transactions.
About the Role
You will advise banks, financial institutions, and borrowers on financing transactions governed by Prawo bankowe (Banking Law) and related regulations. The role involves drafting and negotiating facility agreements (often based on LMA standards adapted for Polish law), security documents including mortgages, pledges under the Ustawa o zastawie rejestrowym i rejestrze zastawów (Registered Pledge Act), and subordination agreements.
You will also advise on regulatory aspects of lending, including consumer credit under the Ustawa o kredycie konsumenckim and compliance with KNF (Komisja Nadzoru Finansowego) requirements. Experience with acquisition finance, real estate finance, or infrastructure finance is highly valued.
Responsibilities
- Draft and negotiate facility agreements, security packages, and intercreditor arrangements
- Advise on Polish law security interests: mortgages, registered pledges, financial pledges, assignments
- Conduct legal due diligence on borrowers and security assets
- Advise on regulatory aspects of lending including Prawo bankowe compliance and KNF requirements
- Coordinate with foreign counsel on cross-border financing transactions
- Support partners in client relationship management and pitch preparation
Requirements
- Qualified adwokat or radca prawny, or completing aplikacja with a clear path to qualification
- 3-5 years of experience in banking and finance law at a reputable firm
- Solid knowledge of Prawo bankowe, Kodeks cywilny (security interests), and the Registered Pledge Act
- Experience drafting and negotiating LMA-style facility agreements under Polish law
- Understanding of KNF regulatory requirements for banks and financial institutions
- Fluent Polish and English; experience with cross-border financing a plus
