Associate – Commercial Contracts at Hogan Lovells Warsaw
Hogan Lovells Warsaw, located in the Spektrum Tower on ul. Twarda, is seeking an Associate for our Commercial practice. The team advises major Polish and international companies on complex commercial arrangements across all sectors, with particular strength in FMCG, retail, automotive, and technology.
About the Role
You will draft and negotiate a wide range of commercial agreements governed by the Kodeks cywilny (Civil Code), including distribution agreements, franchise contracts, supply chain arrangements, and joint venture agreements. The role requires a solid understanding of Book III of the Kodeks cywilny (Obligations), including named contracts (umowy nazwane) and the principles of freedom of contract (zasada swobody umów) under Art. 353-1.
You will also advise on consumer protection matters under the Ustawa o ochronie konkurencji i konsumentów, unfair commercial practices under the Ustawa o przeciwdziałaniu nieuczciwym praktykom rynkowym, and e-commerce compliance under the Ustawa o świadczeniu usług drogą elektroniczną. The role offers excellent exposure to cross-border commercial work through the Hogan Lovells global network.
Responsibilities
- Draft and negotiate commercial agreements: distribution, supply, franchise, and JV contracts
- Advise on contractual risk allocation and liability provisions under the Kodeks cywilny
- Review and update standard terms and conditions (regulaminy, OWU) for client businesses
- Advise on consumer protection compliance and unfair commercial practices
- Support due diligence reviews of commercial contract portfolios in M&A transactions
- Coordinate with Hogan Lovells offices globally on cross-border commercial projects
Requirements
- Qualified adwokat or radca prawny with 3-5 years PQE in commercial/contract law
- Strong knowledge of the Kodeks cywilny (especially obligations and contract law)
- Experience drafting and negotiating complex commercial agreements
- Familiarity with consumer protection laws and e-commerce regulation
- Understanding of competition law implications of distribution and franchise arrangements
- Fluent Polish and English (excellent drafting in both languages)
