Associate — Corporate & M&A

D'Empaire Reyna Abogados seeks an Associate for its Corporate and M&A practice in Caracas. You will advise on mergers, acquisitions, corporate restructurings, and company formations under the Venezuelan Commercial Code (Código de Comercio) and the Law on Commercial Companies.

Key Responsibilities

• Draft and negotiate share purchase agreements, shareholder agreements, and joint venture documentation for Venezuelan and cross-border transactions
• Advise on compliance with the Commercial Code and SUNDDE (Superintendencia Nacional para la Defensa de los Derechos Socioeconómicos) regulations
• Coordinate filings with the Registro Mercantil (Commercial Registry) for company formations and corporate changes
• Conduct corporate due diligence on Venezuelan entities including C.A. and S.R.L. structures
• Assist with regulatory filings before SUDEBAN and the Superintendencia Nacional de Valores

• Support senior partners on cross-border M&A deal execution
• Draft corporate governance documents, board resolutions, and shareholders' meeting minutes
• Manage Registro Mercantil filings and company secretarial matters
• Review commercial contracts for domestic and international clients

• Law degree (Abogado) from a Venezuelan university
• Registered with the Inpreabogado
• 3-5 years post-qualification experience in corporate and M&A transactions
• Bilingual in Spanish and English
• Experience with Venezuelan Commercial Registry filings and corporate governance
