Associate — FDI & Corporate, Baker McKenzie, District 1, Ho Chi Minh City

Baker McKenzie's Ho Chi Minh City office is recruiting a mid-level Associate for its Foreign Direct Investment and Corporate practice group. You will advise multinational corporations on market entry strategies, investment licensing, and corporate governance under the Luật Đầu tư 2020 and Luật Doanh nghiệp 2020.

Baker McKenzie has been in Vietnam since 1993 and is one of the largest international law firms in the country. This role offers exposure to high-profile cross-border work and a clear path to partnership.

• Advise on investment licensing applications to provincial Departments of Planning and Investment
• Draft joint venture agreements, technology transfer contracts, and shareholders' agreements
• Conduct legal due diligence on Vietnamese target companies
• Research and advise on restricted and conditional sectors for foreign investors
• Support senior partners on complex cross-border M&A transactions
• Prepare client alerts on regulatory changes affecting FDI

• 3-6 years' PQE in corporate law, FDI, or M&A
• Strong knowledge of Vietnamese investment licensing, enterprise registration, and conditional business lines
• Experience with Investment Registration Certificates (IRC) and Enterprise Registration Certificates (ERC)
• Fluent in Vietnamese and English
• Cử nhân Luật from an accredited university; LLM or international qualification is a plus
• Membership or eligibility for the Liên đoàn Luật sư Việt Nam
