Avocat en Droit des Affaires (Corporate) — Lyon

Fidal, France's largest law firm with a nationwide network of 90 offices, is seeking an Avocat for its Corporate/M&A practice in Lyon. Based in France's second city and a major regional business hub, you will advise mid-market companies, family businesses, and local subsidiaries of national groups on corporate transactions, restructuring, and governance matters.

Key Responsibilities

• Advise regional SMEs and mid-cap companies on M&A transactions and corporate restructuring
• Draft articles of association, shareholders' agreements, and board resolutions under the Code de commerce
• Assist with business transfers (fonds de commerce) and lease negotiations
• Advise on French commercial law compliance and corporate governance
• Coordinate with Fidal's national teams on multi-office transactions

Requirements

• Master 2 in Business Law from a recognized French university (Lyon III, Paris-based, or equivalent)
• Admitted to the Barreau de Lyon or Barreau de Paris
• 3-5 years PQE in corporate law at a law firm
• Strong client-facing skills and ability to manage regional client relationships
• Fluent French; English working proficiency preferred
