Job Description
Avocat – Corporate / M&A
Liedekerke Wolters Waelbroeck Kirkpatrick, one of Belgium's largest independent law firms on Boulevard de l'Empereur near the Palais de Justice, is seeking an Associate for its Corporate and M&A practice group.
You will advise Belgian and international clients on mergers, acquisitions, joint ventures, and corporate restructurings governed by the Belgian Code of Companies and Associations (CSA/WVV). The firm's corporate team handles some of Belgium's most significant M&A transactions including public takeover bids regulated by the FSMA.
What You Will Do
- Draft and negotiate share purchase agreements, shareholders' agreements, and joint venture documentation under Belgian law
- Advise on corporate governance under the CSA/WVV, including board compositions, shareholder rights, and conflict-of-interest procedures
- Support public takeover bids and squeeze-out proceedings governed by the Belgian Takeover Law and FSMA regulations
- Conduct legal due diligence on target companies
- Advise on Belgian corporate restructurings including mergers, demergers, and conversions under the CSA/WVV
Responsibilities
- Advise on domestic and cross-border M&A transactions
- Draft transaction documentation under Belgian law
- Conduct corporate law due diligence
- Advise on Belgian corporate governance and regulatory compliance
- Support public takeover bid processes and FSMA filings
Requirements
- Admission to a Belgian Bar (Barreau/Balie) required
- Master in Law from a Belgian university (UCLouvain, ULB, KU Leuven, UGent, VUB, or UAntwerpen)
- 3-6 years of post-qualification experience in Belgian corporate/M&A law
- Thorough knowledge of the CSA/WVV and Belgian corporate governance framework
- Fluent in French and English; Dutch is a strong advantage for bilingual Brussels practice
- Completion of the three-year stage (mandatory Belgian bar training) required
