Avocat Senior — Corporate & M&A | Kettani Law Firm
Kettani Law Firm (KLF), one of Morocco's most respected independent law firms on Rue Lahcen El Basri in Casablanca, is seeking a Senior Corporate Avocat to join its market-leading corporate and M&A practice. This is a high-impact role advising major Moroccan and international clients on complex transactions across Morocco and Francophone Africa.
About the Role
You will lead on cross-border mergers and acquisitions, joint ventures, and corporate restructurings governed by the Code de Commerce, Loi 17-95 relative aux sociétés anonymes, and Loi 5-96 relative aux sociétés à responsabilité limitée. You will coordinate legal due diligence, draft and negotiate share purchase agreements and shareholders' agreements, and manage regulatory filings with the Conseil de la Concurrence for merger control approval. The role involves direct client contact with C-suite executives, board members, and external counsel from international firms.

Responsibilities
- Lead and manage M&A transactions from mandate to closing, including due diligence, documentation, and regulatory approvals
- Draft and negotiate complex corporate documentation: SPAs, shareholders' agreements, joint venture agreements
- Advise on corporate governance matters for SA and SARL entities under Moroccan law
- Coordinate merger notifications to the Conseil de la Concurrence under Loi 104-12
- Manage and mentor junior avocats and stagiaires within the corporate practice
- Maintain and develop client relationships with key accounts
- Collaborate with KLF's banking and finance team on integrated transaction mandates
Requirements
- Master's degree (Master 2) in Business Law, Corporate Law, or equivalent from a Moroccan or French university
- Active membership in the Barreau de Casablanca with CAPA certification
- Minimum 7 years' post-qualification experience (PQE) in corporate and M&A law
- Strong knowledge of the Code de Commerce, Code des Obligations et des Contrats (DOC), and Moroccan company law
- Experience with cross-border transactions involving Morocco or Francophone Africa
- Fluency in French required; Arabic and English strongly preferred
- Excellent drafting and negotiation skills
