Capital Markets Associate — Freshfields Bruckhaus Deringer, District 1, Ho Chi Minh City

Freshfields' Ho Chi Minh City office is hiring a mid-level Associate for its Capital Markets practice. You will advise on IPOs, bond issuances, and securities offerings on the Ho Chi Minh Stock Exchange (HOSE) and Hanoi Stock Exchange (HNX), as well as cross-border offerings by Vietnamese issuers.

With Vietnam's stock market growing rapidly and the country's anticipated upgrade to FTSE emerging market status, this is an exciting time to specialise in Vietnamese capital markets.

• Draft prospectuses, offering memoranda, and securities filing documentation
• Advise issuers and underwriters on regulatory requirements for public offerings and private placements
• Coordinate with the State Securities Commission on offering approvals and listing applications
• Conduct legal due diligence on issuers and their corporate governance structures
• Advise on ongoing disclosure obligations and securities compliance for listed companies
• Research developments in Vietnamese securities regulations and market structure reforms

• 3-6 years' PQE in capital markets, securities law, or corporate finance
• Strong knowledge of the Securities Law 2019, Luật Doanh nghiệp 2020, and State Securities Commission regulations
• Experience with IPOs, public offerings, or bond issuances in Vietnam
• Understanding of listing rules for HOSE and HNX
• Cử nhân Luật; international qualification or LLM is a plus
• Fluent Vietnamese and English with excellent drafting skills
