Compliance Counsel
Position Overview
Job Description
We are seeking an experienced and ethical compliance professional to serve as the Compliance Counsel for Vietnam, with a primary focus on the Anti-Bribery and Anti-Corruption (ABC) compliance management program. This role is an integral part of the Vietnam leadership team and regional SEA Compliance team of a German headquartered Global 500 Company. The successful candidate will be responsible for overseeing, implementing and enhancing the ABC compliance management program, and will ensure that all business activities are conducted in compliance with applicable laws, company policies, and the highest standards of integrity.
The duties include identifying and mitigating risks, conducting investigations of potential violations, reviewing proposed promotion and sales incentives, overseeing training and awareness programs, developing and maintaining anti-bribery policies, monitoring and reporting the results of the compliance efforts, and providing guidance to management and employees. The ideal candidate will have a high degree of professional ethics, be assertive with strong communication skills, and is a team-oriented leader who can collaborate effectively.
1. Advisory and Governance
• Provide compliance advice to management and associates on compliance topics, with a focus on ABC.
• Monitor legislative changes in Vietnam (and where, applicable across ASEAN) and assess their impact on business operations.
• Ensure compliance with all applicable laws and regulations of Vietnam and global standards (e.g. FCPA, UKBA) relevant to ABC.
• Implement ABC relevant local policies, guidelines, and procedures.
• Support further development of the ABC compliance management program.
• Cooperate and liaise with government authorities and manage external legal counsel.
• Report regularly to the Regional Head of Compliance and General Manager, in addition to any other required reporting.
2. Risk Management
• Identify and assess compliance risks, with a focus on ABC, across all business divisions within the region.
• Support to implement measures to monitor and mitigate risks, for example due diligence, business partner screening, internal controls and policies, risk assessments / analyses and audits.
• Review and monitor the ABC compliance management program to ensure it meets the requirements of local laws and standards, and it maintains the effectiveness.
3. Internal Investigations
• Conduct internal investigations in potential violations of internal regulations or external laws (for e.g. in areas relating to bribery, fraud, conflicts of interest), which includes report intake, case management, e-forensics, reporting, recommending appropriate sanctions, disciplinary measures, or other consequences, and, if necessary, supporting implementation of sanctions and measures.
• Collaborate with other departments, including, HR, Audit and Legal, and external counsel, where required.
4. Training and Communication
• Design, implement and conduct trainings and activities to ensure effective communication and awareness on the compliance organisation and topics, and the organisation’s culture of compliance and ethical behavior.
• Promote speak up culture, as well as a strong culture of integrity and compliance.
5. General
• Act as a compliance ambassador and organisational leader, setting the tone for integrity and transparency.
• Support with coordination and collaboration efforts to align local compliance initiatives with the global compliance strategy, while balancing the specific regulatory, operational, and cultural requirements of the country / region.
• Undertake duties as and when assigned by Regional Head of Corporate Compliance.
- Minimum Bachelor’s Degree in Law, Accountancy, Business or related fields from a recognised university.
- Minimum 5 to 7 years of experience in legal compliance and ethics, internal investigations, audit, and/or other similar governance areas in a multi-national company or consulting firm.
- Sound knowledge of the regulations and laws relating to anti-bribery and anti-corruption.
- Outstanding written and verbal communication skills in English and Vietnamese.
- High level of integrity and discretion in handling sensitive matters.
- Excellent analytical, investigative and decision-making ability.
- Solid time management and organizational skills. Ability to work under pressure and to manage multiple tasks in a dynamic corporate environment.
- Robust personality, excellent interpersonal and communication skills, with ability to communicate professionally with all levels within the organization.
- Self-starter and exhibits confidence and comfort with decision making, including disagreement with other stakeholders.
- Ability to work independently while being an integral part of a regional, collaborative team.
