Job Description
Corporate Governance Counsel — Koc Holding, Istanbul
Koc Holding, Turkey's largest conglomerate and a Fortune Global 500 company, is seeking a Corporate Governance Counsel to join its central legal department at the Nakkastepe headquarters. This is a high-profile in-house role providing legal oversight across Koc's portfolio of companies spanning automotive, energy, banking, consumer goods, and defense.
Key Responsibilities
- Advise on corporate governance matters for Koc Holding and its listed subsidiaries (Ford Otosan, Tupras, Arcelik, Yapi Kredi) under Turkish Commercial Code No. 6102
- Coordinate with Capital Markets Board (SPK) on corporate governance compliance and material event disclosures for Borsa Istanbul-listed companies
- Support board of directors and general assembly processes for holding and subsidiary companies
- Advise on joint venture governance with international partners (Ford, Fiat, UniCredit)
- Handle group-level competition law compliance across all Koc subsidiaries
- Support M&A transactions and strategic investments at the holding level
- Coordinate legal matters with subsidiary general counsel offices across the Koc Group

Requirements
- Active avukat license and membership in the Istanbul Bar Association
- 8-15 years of corporate law experience, including significant in-house or advisory experience
- Deep expertise in Turkish Commercial Code No. 6102, Capital Markets Law No. 6362, and SPK Corporate Governance Principles
- Experience advising publicly listed Turkish companies on governance and disclosure obligations
- LLB from a top Turkish university; LLM from a recognized international institution preferred
- Native Turkish and fluent English
- Prior conglomerate or holding company legal experience is a strong advantage
