Job Description

Corporate Governance Lawyer

Saudi National Bank (SNB) is seeking a Corporate Governance Lawyer to join our Legal Division in Riyadh. You will advise on board governance, regulatory compliance, and corporate secretarial matters for the largest bank in the Kingdom.

Role Overview

As a publicly listed company on Tadawul and one of the most systemically important financial institutions in Saudi Arabia, SNB must maintain best-in-class corporate governance standards. You will advise the Board of Directors, board committees, and senior management on governance obligations under CMA rules, SAMA regulations, and the Saudi Companies Law.

Key Responsibilities

  • Advise the Board of Directors and committees on governance obligations and best practices
  • Prepare and review board resolutions, minutes, and corporate governance reports
  • Ensure compliance with CMA Corporate Governance Regulations and SAMA Principles of Corporate Governance
  • Manage AGM/EGM processes including notice preparation, proxy voting, and regulatory filings
  • Advise on related party transactions, conflict of interest policies, and insider trading compliance
  • Monitor regulatory developments and update governance policies accordingly

Requirements

  • LLB from a recognized university; LLM or professional governance qualification (e.g., ICSA) preferred
  • 5-8 years of corporate governance or corporate law experience
  • Strong knowledge of CMA Corporate Governance Regulations and Saudi Companies Law
  • Experience with board advisory and corporate secretarial functions
  • Fluent in Arabic and English
  • Saudi nationals preferred
