The Director, International Legal will be responsible for all legal matters arising out of the international territories assigned to this role. This role will work in conjunction with the VP, Head of International Legal and the internal counsels in the international legal team and at the US headquarters, as well as outside counsels to advise executives on cybersecurity and data privacy laws, labor and employment matters, corporate laws, and compliance issues. The main focus of this role will be to assist with a variety of commercial contracts and transactions that impact the organization’s international operations (with a primary focus on UK&I) as well as support the international legal team on commercial and corporate matters. The role assists with the ongoing implementation and application of the KnowBe4 group’s processes and policies onto all group’s entities and in particular the former Egress entities.
Responsibilities:
- Draft, review, analyze and negotiate various contract documents, including master services agreements, data protection agreements, statements of work, purchase orders, license agreements, reseller agreements, NDAs, RFPs, etc. in English and preferably in a second European language, with a heavy focus on technology contracts.
- Manage, participate in, and resolve general legal matters affecting the company’s international operations.
- Research legal issues and prepare memorandums to explain any risks/liabilities that could impact the company.
- Provide advice and interpretation of contract requirements, obligations, and risk exposure to management.
- Verify compliance with corporate guidelines and summarize risks for management review and approval.
- Assist with global expansion (including the integration of Egress or future M&A transactions, investor relations and/or stock purchases).
- Advise on intellectual property matters.
- Interpret and apply U.S. and foreign laws to business operations.
- Work with outside legal counsels.
- Offer counsel on a variety of complex legal issues.
- Implement strategies to avoid litigation and mitigate potential risks.
- Advise and provide support to the tax and finance departments for routine filings, as needed.
- Assist with the creation and maintenance of global compliance programs and process flows as needed by the affiliated entities.
- Conduct process and procedure audits to ensure legal compliance and that best practices are followed.
- Advise on contract status, legal risks, and the liabilities associated with different deals.
- Monitor and ensure compliance with required corporate filings.
- Stay informed on relevant laws and regulations that may impact the organization’s international operations.
- Provide genuine recommendations as to the hiring, firing, promotion, and discipline of subordinate employees to which the Company gives significant weight
Minimum Qualifications:
- Must have completed a doctorate or masters of law (or equivalent degrees)
- Minimum 7 years of experience practicing law in areas applicable to the position
- Minimum 7 years of experience drafting and reviewing legal documents in English and preferably in a second European language
- Minimum 7 years of experience with UK Public Procurement laws
