Legal Assistant

Fasken Martineau DuMoulin LLP is seeking a Legal Assistant for its Corporate practice group at Bay Adelaide Centre, 333 Bay Street, Toronto. You will provide administrative and legal support to partners and associates handling complex corporate and commercial transactions.

Key Responsibilities

• Prepare, format, and proofread legal documents including share purchase agreements, articles of incorporation, and board resolutions
• Manage corporate minute books and maintain corporate registrations through Ontario Business Registry
• File annual returns, articles of amendment, and other corporate filings with Corporations Canada and the Ontario Ministry of Government and Consumer Services
• Coordinate closing logistics for M&A transactions and manage closing books
• Manage partner calendars, travel arrangements, and client billing

Requirements

• Legal assistant diploma or equivalent from an accredited program
• 2-4 years experience as a legal assistant in a corporate practice group
• Proficient in Microsoft Office, DeltaView/Compare Suite, and accounting software
• Knowledge of corporate filing requirements under CBCA and OBCA
• Excellent organizational skills and attention to detail
