Investment & M&A Lawyer at Darussalam Assets

Darussalam Assets Sdn Bhd is seeking an Investment & M&A Lawyer to support its strategic investment activities in Bandar Seri Begawan. The role involves working on acquisitions, disposals, and joint ventures across the Wawasan 2035 diversification portfolio, including investments in food, telecommunications, technology, and real estate.

Key Responsibilities

• Conduct legal due diligence on potential acquisition targets and investment opportunities
• Draft and negotiate share purchase agreements, joint venture agreements, and investment term sheets
• Advise on corporate structuring and regulatory approvals for domestic and cross-border investments
• Manage post-completion integration and governance matters for portfolio companies
• Support the company's involvement in DARe (Darussalam Enterprise) initiatives for SME development
• Coordinate with external counsel across ASEAN on cross-border transactions

• Support M&A and investment transactions for the portfolio
• Conduct due diligence and draft transaction documentation
• Manage cross-border legal coordination with external counsel

• Admitted to practise in Brunei or a qualified lawyer from a recognised jurisdiction
• 3-7 years of experience in M&A, corporate finance, or investment transactions
• Law degree from UBD, a UK, Singaporean, or Australian university
• Experience with investment vehicles, holding structures, and joint ventures
• Strong commercial awareness and transaction management skills
• Fluent in English; Malay is preferred
