Corporate Legal Counsel at Darussalam Assets

Darussalam Assets Sdn Bhd, the strategic investment arm of the Government of Brunei, is recruiting a Corporate Legal Counsel for its Bandar Seri Begawan headquarters. The role involves supporting cross-sector investments aligned with Brunei's Wawasan 2035 economic diversification vision, including transactions in telecommunications, food security, technology, and real estate.

Key Responsibilities

• Lead legal workstreams for M&A transactions, joint ventures, and strategic investments across diverse sectors
• Draft and negotiate shareholders' agreements, subscription agreements, and investment term sheets
• Advise on corporate governance for Darussalam Assets' portfolio companies and subsidiaries
• Manage regulatory approvals and government consents for investment transactions
• Conduct legal due diligence on acquisition targets in Brunei and internationally
• Coordinate with external counsel across ASEAN jurisdictions on cross-border deals

• Lead legal support for investment transactions and portfolio management
• Advise on corporate governance and regulatory compliance across subsidiaries
• Manage external counsel on complex cross-border transactions

• Admitted to practise in Brunei, or a qualified lawyer from a recognised common law jurisdiction
• 7-12 years of experience in corporate law, M&A, or investment transactions
• Law degree from UBD, a UK, Australian, or Singaporean university; LLM preferred
• Experience in government-linked companies or sovereign investment entities is highly valued
• Strong commercial acumen and transaction management skills
• Fluent in English; Malay is an advantage
