Legal Assistant – Banking Documentation at Allen & Overy Shearman Warsaw
Allen & Overy Shearman's Warsaw office in the Warsaw Financial Center on ul. Emilii Plater is seeking a Legal Assistant for our Banking & Finance documentation team. This role supports the firm's market-leading lending practice, which handles some of the largest financing transactions in the CEE region.
About the Role
You will assist the Banking & Finance team with the preparation, review, and management of loan documentation, security packages, and closing deliverables. The role involves working with LMA-style facility agreements adapted for Polish law, preparing mortgage registration applications for sądy wieczystoksięgowe (land registry courts), filing registered pledges with the rejestr zastawów, and managing condition precedent (CP) checklists.
You will also coordinate with notaries (notariusze) for notarial deed execution, manage KRS filings for borrower SPVs, and maintain the team's precedent and template database. This is an excellent role for a law graduate interested in banking and finance law, providing a strong foundation for future aplikacja and qualification as a radca prawny or adwokat.
Responsibilities
- Prepare and manage loan documentation, security packages, and closing checklists
- File mortgage registration applications with sądy wieczystoksięgowe and monitor registration
- Register pledges with the rejestr zastawów and manage pledge documentation
- Coordinate with notariusze for execution of notarial deeds (akty notarialne)
- Manage KRS filings for SPVs and borrower entities
- Maintain the banking & finance precedent and template library
Requirements
- Bachelor's or master's degree in law (licencjat or magister prawa)
- 0-2 years of experience in a legal support role, ideally in banking/finance or corporate
- Basic knowledge of Prawo bankowe, Kodeks cywilny (security interests), and KRS procedures
- Understanding of land registry (księgi wieczyste) and registered pledge registration
- Strong attention to detail and organisational skills
- Fluent Polish and English (B2+); experience with English-language documentation a plus
