Senior Associate – Restructuring & Insolvency at Allen & Overy Shearman Warsaw
Allen & Overy Shearman's Warsaw office, located in the Warsaw Financial Center on ul. Emilii Plater near Dworzec Centralny, is looking for a Senior Associate to join our Restructuring & Insolvency practice. About the Role
You will advise creditors, debtors, and investors on complex restructuring and insolvency matters under Prawo restrukturyzacyjne (Restructuring Law) and Prawo upadłościowe (Bankruptcy Law). The role encompasses all four restructuring proceedings available under Polish law: postępowanie o zatwierdzenie układu, przyspieszone postępowanie układowe, postępowanie układowe, and postępowanie sanacyjne.
You will represent clients before restructuring and bankruptcy courts (sądy restrukturyzacyjne i upadłościowe) within the Sąd Rejonowy system, negotiate with creditors' committees, and advise on distressed M&A opportunities. Experience with pre-pack sales under the Prawo upadłościowe (art. 56a-56h) and creditor enforcement proceedings under the Kodeks postępowania cywilnego is essential.
Responsibilities
- Advise creditors, debtors, and investors on restructuring proceedings under Prawo restrukturyzacyjne
- Represent clients in bankruptcy proceedings and pre-pack sales under Prawo upadłościowe
- Negotiate with creditors' committees and draft restructuring plans (plany restrukturyzacyjne)
- Advise on distressed M&A transactions and asset purchases from insolvency estates
- Handle enforcement proceedings and creditor recovery actions before Polish courts
- Coordinate cross-border insolvency matters under the EU Insolvency Regulation
- Mentor junior associates and contribute to business development
Requirements
- Qualified adwokat or radca prawny with 6-10 years PQE in restructuring and insolvency
- Expert knowledge of Prawo restrukturyzacyjne and Prawo upadłościowe
- Experience representing creditors or debtors in Polish restructuring proceedings
- Familiarity with distressed M&A and pre-pack sale procedures
- Strong litigation skills for enforcement proceedings under the Kodeks postępowania cywilnego
- Fluent Polish and English; experience with cross-border insolvency (EU Insolvency Regulation) a plus
