Legal Counsel – Corporate Governance at PKO Bank Polski (Kraków)

PKO Bank Polski is hiring a Legal Counsel for the Corporate Governance team at our Kraków operations centre, located in the Unity Centre complex in the Czyżyny district. The Kraków centre handles corporate governance and company secretarial work for the PKO BP group, including its subsidiaries and investment funds.

About the Role

You will advise on corporate governance matters for one of Poland's most systemically important financial institutions, listed on the GPW and subject to the Dobre Praktyki Spółek Notowanych na GPW (Best Practice of GPW-Listed Companies). The role covers Kodeks spółek handlowych compliance, board and supervisory board support, shareholder meeting preparation (Walne Zgromadzenie Akcjonariuszy), and regulatory corporate governance requirements under KNF guidelines.

The role involves drafting board resolutions (uchwały zarządu), supervisory board materials, and ensuring compliance with the bank's statut (articles of association). You will coordinate with the Management Board Secretariat and Investor Relations on governance-related disclosures and the annual report corporate governance statement.

• Support the Management Board and Supervisory Board on corporate governance matters
• Draft board resolutions, supervisory board materials, and shareholder meeting documentation
• Ensure compliance with the Dobre Praktyki Spółek Notowanych na GPW and KNF governance guidelines
• Coordinate with Investor Relations on governance disclosures and annual reporting
• Advise on corporate governance aspects of subsidiary management and group structure
• Monitor developments in Polish and EU corporate governance regulation

• Qualified radca prawny with 3-5 years of experience in corporate governance or company secretarial work
• Strong knowledge of the Kodeks spółek handlowych (joint-stock company provisions) and GPW corporate governance code
• Familiarity with KNF corporate governance requirements for banks
• Experience supporting board and supervisory board proceedings
• Understanding of GPW disclosure and reporting obligations
• Fluent Polish; good English for group-level reporting
