Job Description
Senior Associate – Corporate Governance
Shin & Kim is hiring a Senior Associate for its Corporate Governance practice at D-Tower, Jongno-gu, Seoul, in the heart of the Gwanghwamun government district. You will advise listed companies and chaebol groups on board governance, shareholder activism, ESG compliance, and regulatory filings under Korea's enhanced stewardship code.
Key Responsibilities
- Advise boards of directors on fiduciary duties, related-party transactions, and 상법 (Commercial Act) compliance
- Handle shareholder activism responses, proxy contests, and annual general meeting preparations for KOSPI/KOSDAQ-listed companies
- Draft corporate governance codes, board charters, and ESG reporting frameworks aligned with Korea Exchange (KRX) disclosure rules
- Advise on chaebol reform regulations including the 독점규제법 circular shareholding restrictions and large business group disclosure requirements
- Represent clients before the Korea Fair Trade Commission on conglomerate governance investigations
Requirements
- Korean 변호사 licence with 6-10 years of corporate or securities law experience
- Extensive knowledge of Korean 상법 and Securities Exchange Act
- Experience advising KOSPI-listed companies on governance matters
- Familiarity with KFTC large business group designation rules
