Jadek & Pensa, one of Slovenia's most respected law firms, is seeking a Senior Associate to join our Corporate & M&A practice in Ljubljana. You will advise Slovenian and international clients on complex mergers, acquisitions, joint ventures, corporate restructurings, and privatizations across the Slovenian market.
The role involves working with the Zakon o gospodarskih druzbah (ZGD-1, Companies Act) and the Zakon o prevzemih (ZPre-1, Takeover Act), advising on transactions reviewed by the Javna agencija RS za varstvo konkurence (AVK, Competition Protection Agency), and coordinating cross-border deals with counsel across Central and Southeastern Europe. Jadek & Pensa is consistently recognized by Chambers Europe and Legal 500 for corporate and M&A work in Slovenia.
Responsibilities
Lead due diligence workstreams on cross-border M&A transactions in Slovenia and the region. Draft and negotiate share purchase agreements, shareholder agreements, and merger plans under Slovenian law. Advise on AVK (Competition Protection Agency) merger clearance filings. Coordinate with regional and international counsel on multi-jurisdictional deals. Mentor junior associates and supervise Odvetniški kandidati (trainee lawyers).
Requirements
Magister prava (Master of Laws) from the University of Ljubljana Faculty of Law or equivalent. Admission to the Odvetniška zbornica Slovenije (Slovenian Bar Association) as Odvetnik. 5-8 years of M&A experience at a leading law firm. Deep knowledge of ZGD-1 (Companies Act) and ZPre-1 (Takeover Act). Fluent in Slovenian and English; German or Croatian is an advantage.
