The Corporation Secretary and Director Legal Services is responsible for Board secretariat, legal, compliance and advisory services to the Board and Management.
Duties and responsibilities
- Arranging the business of the Board and keeping records of proceedings.
- Providing advice on legal and corporate matters to CUE through interpretation and legal opinions.
- Providing secretariat services to the Board.
- Ensuring compliance with statutes, regulations and procedures.
- Formulating legal opinions and reports on issues affecting the Board.
- Formulating, vetting, reviewing and negotiating contracts, leases, agreements and memorandums of understanding.
- Reviewing the Board's legal framework and advising on compliance by sector players.
- Coordinating formulation and review of Board policies to align with relevant laws and Government circulars.
- Coordinating litigation management through the Office of the Attorney General and ensuring adequate representation of the Board.
- Ensuring requisite information and evidence on legal matters involving the Board is compiled and proper instructions issued.
- Negotiating disputes with a view to out-of-court settlement.
- Coordinating legal audits to measure compliance with legal requirements.
- Identifying legal risks and advising on mitigation measures.
- Managing and coordinating the Legal Services Division, including coaching and mentorship of divisional staff.
- Setting performance targets and work plans, and managing, supervising and developing staff for the legal services unit.
- Representing the Board in legal fora.
Person specifications
- At least twelve years relevant experience, five years of which should have been at senior management level in a comparable institution.
- Bachelor of Laws (LL.B) degree from a recognized institution.
- Master's degree in Law or equivalent qualification from a recognized institution.
- Postgraduate Diploma in Law (Advocates Training Programme) from the Kenya School of Law.
- Admission as an Advocate of the High Court of Kenya.
- Valid practising certificate.
- Membership to the Law Society of Kenya and the Institute of Certified Public Secretaries of Kenya.
- Leadership course certificate lasting at least four weeks from a recognized institution.
- Computer proficiency, demonstrated professional competence and administrative capability, and fulfilment of Chapter Six requirements.
