Position Overview
Job Description
Allianz SE is seeking a Senior Legal Counsel to join our Corporate and M&A team in Munich. You will advise on strategic acquisitions, disposals, and corporate restructurings across Allianz's global insurance and asset management operations, working closely with the Group Board and country CEOs.
Responsibilities
- Lead legal workstreams on M&A transactions including acquisitions, joint ventures, and divestitures
- Advise on corporate governance matters for Allianz SE and its subsidiaries
- Draft and negotiate transaction documents including SPAs, JV agreements, and shareholder agreements
- Manage external law firm relationships and budgets for transactions
- Advise on insurance regulatory aspects of M&A transactions (VAG)
- Support integration of acquired businesses from a legal perspective
- Report to senior management on legal risks and transaction structures
Requirements
- Zweites Staatsexamen with Praedikatsexamen
- 7-10 years of post-qualification experience in M&A, with a mix of law firm and in-house experience
- Admitted as Rechtsanwalt or Syndikusrechtsanwalt in Germany
- Knowledge of insurance regulatory law (VAG, Solvency II) is a strong advantage
- Experience managing complex cross-border transactions
- Fluent in German and English; French or Italian is a plus
- Strong leadership and project management skills
