Senior M&A Luật sư — VILAF, District 1, Ho Chi Minh City

VILAF, Vietnam's premier independent law firm, is seeking an experienced Senior Luật sư (Lawyer) to join its market-leading M&A practice in District 1, Ho Chi Minh City. You will advise domestic and international clients on complex mergers and acquisitions, joint ventures, and corporate restructurings under the Luật Doanh nghiệp 2020 (Law on Enterprises 2020) and Luật Đầu tư 2020 (Law on Investment 2020).

• Lead due diligence, transaction structuring, and negotiation on M&A deals
• Draft and review share purchase agreements, joint venture agreements, and shareholders' agreements
• Advise on regulatory approvals from the Department of Planning and Investment and the Ministry of Industry and Trade
• Coordinate with international co-counsel on cross-border transactions
• Mentor junior associates and Tập sự (trainees)
• Contribute to client development and firm thought leadership

• Membership of the Liên đoàn Luật sư Việt Nam (Vietnam Bar Federation) or eligible for admission
• Minimum 8 years' PQE in M&A, corporate law, or related practice
• Deep knowledge of Luật Doanh nghiệp 2020, Luật Đầu tư 2020, and Securities Law 2019
• Experience advising on cross-border M&A and FDI transactions
• Fluent in Vietnamese and English (written and spoken)
• Cử nhân Luật (Bachelor of Laws) from a recognised Vietnamese or international university
