Job Description
Carey, Chile's most prestigious law firm, seeks a Senior M&A lawyer for its headquarters on Isidora Goyenechea in Las Condes, Santiago. The successful candidate will lead complex cross-border mergers, acquisitions, and corporate restructurings for multinational clients, private equity funds, and Chile's leading grupos empresariales.
The role demands deep knowledge of the Ley de Sociedades Anonimas (Ley 18.046), the Codigo de Comercio, and the regulatory framework of the Comision para el Mercado Financiero (CMF). You will coordinate multidisciplinary teams across tax, competition, and employment law for landmark transactions valued at USD 100M+.

Responsibilities
- Leading end-to-end M&A transactions including structuring, due diligence coordination, and closing
- Drafting and negotiating share purchase agreements, shareholders' agreements, and corporate governance documents
- Advising on regulatory approvals before the CMF and FNE (competition clearance under DL 211)
- Managing relationships with key multinational and domestic corporate clients
- Mentoring junior associates and contributing to the firm's knowledge management programme
- Coordinating with PPU, Garrigues, and other alliance firms on pan-Andean transactions
Requirements
- Licenciatura en Ciencias Juridicas from a recognised Chilean university (Universidad de Chile, PUC, or equivalent)
- Juramento ante la Corte Suprema (sworn in as Abogado)
- 8-12 years of post-qualification experience in M&A and corporate law
- Proven track record leading complex transactions (due diligence, SPA negotiation, CMF filings)
- Expertise in Ley 18.046 (Sociedades Anonimas), Codigo de Comercio, and SVS/CMF regulations
- Fluent English (written and spoken) — cross-border mandates require bilingual capability
- LL.M. from a top-tier international university preferred
