Job Description
Banking & Finance Counsel — Moral & Partners, Istanbul
Moral & Partners is recruiting a Banking & Finance Counsel to strengthen its market-leading banking practice in Istanbul. The role covers loan transactions, structured finance, NPL portfolio sales, project finance, and regulatory advisory under Turkish Banking Law No. 5411 and BRSA regulations.
Key Responsibilities
- Advise Turkish and international banks on syndicated loan facilities, bilateral lending, and trade finance
- Draft and negotiate loan agreements, security packages (mortgages, pledges, guarantees), and intercreditor arrangements under Turkish law
- Handle non-performing loan (NPL) portfolio sales and securitization transactions
- Advise on Banking Regulation and Supervision Agency (BDDK/BRSA) regulatory compliance
- Support project finance transactions for energy, infrastructure, and real estate developments
- Advise on Islamic finance structures (sukuk, murabaha) under Turkish capital markets regulations
- Coordinate with international counsel on cross-border financing involving Turkish obligors

Requirements
- Active avukat license and Istanbul Bar Association membership
- 6-10 years of banking and finance law experience at a leading Turkish or international firm
- Deep expertise in Turkish Banking Law No. 5411, Law of Obligations No. 6098 (security interests), and Capital Markets Law No. 6362
- Experience with NPL transactions, syndicated lending, and project finance
- LLB from a top Turkish law faculty; LLM in banking/finance law preferred
- Fluent Turkish and English with strong drafting skills in both languages
- BRSA regulatory experience is highly valued
