Corporate Associate — Al-Tamimi & Company, Baghdad
Al-Tamimi & Company's Baghdad office is seeking a Corporate Associate to join its expanding Iraq practice. This role involves advising on corporate structuring, foreign direct investment, mergers and acquisitions, and joint ventures across federal Iraq and the Kurdistan Region.
Key Responsibilities
- Advise clients on company formation and corporate governance under Iraq's Company Law No. 21 of 1997
- Conduct due diligence for M&A transactions and investment projects
- Draft shareholder agreements, joint venture contracts, and commercial agreements
- Advise on Iraq's National Investment Commission regulatory framework and Investment Law No. 13 of 2006
- Support banking and finance transactions including project finance for infrastructure
- Coordinate with Iraqi government agencies on licensing and registration
- Work with the firm's regional offices on cross-border Middle East transactions

Requirements
- Admitted to the Iraqi Bar Association or qualified in a GCC/common law jurisdiction
- 3-6 years of corporate/commercial law experience, preferably with Iraq or Middle East exposure
- Strong knowledge of Iraqi Company Law, Investment Law, and commercial regulations
- Excellent drafting skills in Arabic and English
- Experience with cross-border transactions involving Iraq, Gulf states, or emerging markets
- LLB from an accredited Iraqi law faculty (University of Baghdad, Al-Nahrain, or equivalent) or LLM from an international institution
