About the Role
Litify is seeking a skilled and proactive Corporate Counsel with 1-5 years of relevant legal experience to support our commercial operations and general corporate legal needs. This role reports to the General Counsel and will be instrumental in helping to manage the full lifecycle of commercial contracts and providing legal guidance across the organization.
As the second member of Litify’s legal department, you will be a key piece of our growth story and will have the opportunity to take on ownership of legal projects. The ideal candidate is a licensed attorney with a background in software and technology, has received relevant training at a law firm or other SaaS technology provider, possesses demonstrated legal drafting and communication skills, and is an ambitious self-starter eager to learn and apply their skills and collaborate with legal and non-legal stakeholders throughout the organization.
Key Responsibilities:
- Commercial Contracting and Support:
- Draft, review, redline, and negotiate a high volume of complex commercial agreements, including: Enterprise Customer/Subscription Agreements (SaaS MSAs); Vendor/Procurement Agreements; Strategic Partner Agreements; Non- Disclosure Agreements (NDAs); Statements of Work (SOWs) and other ancillary documents.
- Ensure agreements are consistent with Litify’s business objectives, internal policies and practices, and legal requirements, and assist in managing the contract lifecycle from initial draft through execution.
- Provide support and legal assistance to the Company’s Sales team, including guidance regarding deal terms and applicable Request for Proposal (RFP) responses.
- General Legal Support: Assist the General Counsel in providing legal guidance to key stakeholders throughout the organization regarding a wide range of issues, including:
- General corporate matters, compliance initiatives, and internal policy development;
- Employment matters and policies;
- Product-related legal guidance; and
- Business disputes.
- Data Security and Privacy:
- Assist in reviewing and negotiating data security, data privacy, and compliance terms in customer and vendor agreements, including providing counsel with respect to various data protection issues, including GDPR, CCPA, and other relevant frameworks.
- Collaborate with, and provide counsel to, the company’s engineering and product teams.
Qualifications:
- J.D. degree from an accredited law school.
- Licensed and in good standing with a state bar association (e.g., NY, CA, etc.).
- 1-5 years of relevant legal work experience relating to the Key Responsibilities above. Law firm training and experience is a plus, as is prior work at a SaaS company.
- Demonstrated interest in software and technology.
- Proven ability to efficiently review, redline, and negotiate complex legal terms with external parties. Experience with technology transactions and SaaS-related agreements a plus, as is certifications from the IAPP or a similar privacy-related organization.
- Demonstrated competency in translating complex legal issues into clear business advice, including excellent written and verbal communication skills.
- Familiarity with data security, privacy regulations, and the contractual terms associated with them.
- Highly organized, detail-oriented, and able to manage multiple priorities and deadlines simultaneously.
