About the team
The Legal, Risk & Compliance (LRC) team at Airwallex is a collaborative group of legal minds and risk management experts. We're passionate about safeguarding Airwallex's operations, fostering a culture of compliance and ethical conduct, and ensuring we navigate the global financial landscape with integrity. We provide expert guidance and support to all areas of the business, proactively identifying, mitigating, and managing legal, compliance and financial risks.
What you’ll do
As a Corporate Governance Paralegal within the Corporate Legal team, you will be responsible for managing the full spectrum of company secretarial and corporate governance matters across Airwallex's growing portfolio of licensed entities worldwide. You will play a critical role in ensuring that our global entity structure remains compliant, well-governed, and positioned to support Airwallex's ambitious expansion plans. Working closely with the Head of Corporate Legal, Corporate Development & Investor Relations, Finance, Tax, People & Talent, and Regulatory Legal, you will oversee board and committee governance, entity lifecycle management, statutory compliance, and equity administration. This is an opportunity to build and own the corporate secretarial function for a high-growth, cross-border fintech operating in over 20 markets.
This role is based in San Francisco.
Responsibilities:
Handle the full spectrum of company secretarial matters for licensed entities across different regions, including incorporation, restructuring, capital injections, and winding down of entities, as well as managing statutory and regulatory filings across jurisdictions.
Organize and facilitate board, committee, and general meetings, including preparing agendas, resolutions, minutes, and presentation materials; manage follow-ups and action item tracking.
Maintain statutory registers, board books, minute books, and corporate records for all group entities, ensuring accuracy and accessibility across the organization.
Support Options/RSU administration and shareholder-related matters, partnering closely with the People & Talent and Corporate Development teams.
Ensure compliance with licensing conditions, regulatory obligations, and internal governance standards across all jurisdictions in which Airwallex operates, advising on governance best practices and improvements.
Liaise with external company secretarial service providers (e.g., Tricor), regulators, auditors, and external legal counsel to ensure seamless governance operations and timely filings.
