The Associate will work on domestic and cross-border M&A, private equity investments, and corporate restructurings under the Companies Act No. 7 of 2007. The role includes engagement with the Securities and Exchange Commission of Sri Lanka, the Colombo Stock Exchange, and the Registrar of Companies, offering a fast-track career path in Colombo's competitive corporate legal market.

• Execute M&A transactions from due diligence through closing including SPA negotiation
• Draft corporate resolutions, board minutes, and shareholder circulars
• Advise on compliance with the Companies Act No. 7 of 2007, SEC Act, and Takeovers Code
• Coordinate with the Registrar of Companies on statutory filings and corporate restructurings
• Prepare regulatory submissions to the SEC and Colombo Stock Exchange
• Support private equity and venture capital investment transactions

• Attorney-at-Law admitted by BASL with 3–5 years' post-admission corporate law experience
• Demonstrable M&A transaction experience including due diligence, SPA drafting, and closing
• Knowledge of the Companies Act No. 7 of 2007, Takeovers and Mergers Code, and SEC regulations
• Experience with Colombo Stock Exchange listing rules and compliance
• Understanding of competition law and Consumer Affairs Authority regulations
• LL.B. with First or Upper Second Class; LL.M. in commercial law preferred
• Excellent English communication skills
