Junior Associate – Corporate/M&A at SK&S (Poznań)
Sołtysiński Kawecki & Szlęzak (SK&S) is expanding its presence in Poznań, the capital of Wielkopolska and a major business centre in western Poland. The Poznań desk operates from the Bałtyk Tower on ul. Roosevelta, a landmark building in the city centre near Stary Rynek (Old Market Square).
About the Role
As a Junior Associate, you will support the Corporate/M&A team on transactions involving Wielkopolska-based companies and cross-border deals for multinational clients with operations in western Poland. The role involves drafting corporate documents under the Kodeks spółek handlowych, conducting due diligence, and assisting with KRS filings at the Sąd Rejonowy Poznań-Nowe Miasto i Wilda.
Poznań's growing economy, driven by automotive (Volkswagen), food processing, and logistics sectors, provides interesting deal flow. You will gain experience on share and asset deals, corporate transformations (mergers, divisions under KSH), and commercial contracts under the Kodeks cywilny. This is an excellent opportunity for a young lawyer to develop in a supportive environment with direct partner supervision.
Responsibilities
- Support senior lawyers on M&A transactions: due diligence, document drafting, and closing
- Draft corporate documents: resolutions, articles of association amendments, and KRS filings
- Conduct legal due diligence on target companies (corporate, contracts, real estate, employment)
- Assist with corporate transformations (mergers, divisions, conversions) under the Kodeks spółek handlowych
- Draft and review commercial contracts for corporate clients
- Research legal issues and prepare internal memoranda for senior team members
Requirements
- Recently qualified adwokat or radca prawny, or final-year aplikant
- 0-2 years of experience in corporate/M&A law
- Solid knowledge of the Kodeks spółek handlowych and Kodeks cywilny
- Ability to conduct corporate due diligence and prepare DD reports
- Good understanding of KRS registration procedures
- Fluent Polish and English; German is a significant advantage for Wielkopolska clients
