Position Overview
Job Description
Osler, Hoskin & Harcourt LLP is seeking an Associate for its Emerging Companies and Venture Capital practice at First Canadian Place, Toronto. You will advise startups, scale-ups, and venture capital firms on financing rounds, corporate governance, and IP protection in Canada's growing tech ecosystem.
Key Responsibilities
- Advise startups and growth-stage companies on seed, Series A, and later-stage equity financings
- Draft and negotiate term sheets, shareholders' agreements, stock option plans, and SAFE notes
- Advise on corporate governance for early-stage companies under the CBCA and OBCA
- Support venture capital fund formation and LP advisory
- Advise on technology licensing, SaaS agreements, and data privacy compliance under PIPEDA
Requirements
- Called to the Bar in Ontario (LSO member)
- 2-4 years post-call experience in venture capital, startups, or corporate law
- JD/LLB from a recognized Canadian law school
- Genuine interest in technology and the Canadian startup ecosystem
- Experience with MaRS, Communitech, or similar innovation hubs an asset
