Position Overview
Job Description
Hengeler Mueller, one of Germany's most prestigious law firms, is seeking a talented Rechtsanwalt to join our Corporate/M&A team in Frankfurt. You will advise on landmark transactions including public takeovers, mergers, private equity deals, and corporate restructurings for DAX-listed companies and international corporations.
Responsibilities
- Advise on complex M&A transactions, public takeovers, and corporate restructurings
- Draft and negotiate transaction documents including share purchase agreements, shareholder agreements, and joint venture contracts
- Conduct legal due diligence on target companies
- Advise on German stock corporation law (Aktienrecht) and corporate governance
- Coordinate with international counsel on cross-border transactions
- Support client relationship management and business development
Requirements
- Zweites Staatsexamen with Praedikatsexamen (minimum 9 points in both examinations)
- 2-5 years of post-qualification experience in corporate/M&A law
- Admitted as Rechtsanwalt at a German bar (Rechtsanwaltskammer)
- Excellent knowledge of German corporate law, including AktG, GmbHG, and UmwG
- Fluent in German and English (business level)
- LL.M. from a recognized international university preferred
- Strong analytical skills and attention to detail
